1 · Agreement to These Terms
Hulala Girls Inc. (“Hulala Girls,” “we,” “us”), a Delaware corporation, owns and operates hulalagirls.com (the “Site”). These Terms of Use are a binding agreement between you and Hulala Girls Inc. By accessing or using the Site, you agree to be bound by these Terms of Use and our Privacy Policy, which is incorporated by reference. If you do not agree, you may not access or use the Site.
A child may access the Site only with the permission and under the supervision of a parent or legal guardian. By permitting a child to access the Site, the parent or legal guardian accepts these Terms of Use on the child’s behalf and is responsible for the child’s use of the Site. We do not ask children to accept these Terms of Use.
2 · License Grant and Restrictions
Subject to your compliance with these Terms of Use, Hulala Girls Inc. grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site and its content solely for your personal, non-commercial use. You may download materials we make available for download solely for personal, non-commercial use, provided all copyright, trademark, and other proprietary notices remain intact. All rights not expressly granted in these Terms of Use are reserved by Hulala Girls Inc.
You agree not to:
(a) use any Hulala Girls characters, artwork, music, or other content for any commercial purpose, including on products, merchandise, advertising, or social media promotions, without a signed license from Hulala Girls Inc.;
(b) copy, modify, distribute, sell, or republish any Site content, except as expressly permitted above;
(c) use any robot, scraper, or other automated means to access, collect, or harvest Site content, except standard search-engine indexing of public pages;
(d) use any Site content to train, fine-tune, or ground any artificial intelligence or machine-learning model, or to create AI-generated versions of Hulala Girls characters, artwork, voices, or music;
(e) frame, mirror, or embed any part of the Site, or link to it in a manner that suggests affiliation with or endorsement by Hulala Girls Inc.;
(f) interfere with, disrupt, decompile, reverse engineer, or attempt to gain unauthorized access to the Site or its systems;
(g) impersonate Hulala Girls Inc. or misrepresent any affiliation with it; or
(h) use the Site in violation of any applicable law.
3 · Intellectual Property
All Hulala Girls content on the Site, including without limitation the Hulala Girls™ name and logo; all characters and their names, likenesses, personalities, voices, and stories; artwork, animation, videos, music, songs, visual effects, and sound effects; games, activities, and downloads; and the Site’s text, design, and overall look and feel (collectively, “Hulala Girls Content”), is owned by Hulala Girls Inc. and protected by the copyright, trademark, and other intellectual property laws of the United States and international treaties. HULALA GIRLS™ and all related names, characters, logos, and trade dress are trademarks of Hulala Girls Inc. Nothing in these Terms of Use transfers ownership of, or grants any license to, Hulala Girls Content, except the limited license in Section 2.
4 · Unsolicited Submissions
Hulala Girls Inc. does not accept or consider unsolicited ideas, stories, artwork, pitches, or other creative materials (“Submissions”). Parents and guardians must not permit children to send us Submissions. If you send a Submission despite this policy: (i) it will be deemed non-confidential and non-proprietary; (ii) Hulala Girls Inc. has no obligation to review, return, or compensate you for it, and may delete it without review; (iii) no confidential, fiduciary, or implied-contract relationship is created; and (iv) you waive any claim that any Hulala Girls Content, whether created before or after your Submission, is based on or infringes your Submission.
5 · Business Inquiries and Licensing
Our contact form is intended solely for adults (18 years of age or older) making business inquiries, including licensing, partnership, press, and trade inquiries. Nothing on the Site constitutes an offer to license, sell, or otherwise transfer any rights in Hulala Girls Content. Any commercial use of Hulala Girls Content requires a written license agreement signed by an authorized officer of Hulala Girls Inc. No inquiry, discussion, or correspondence creates any license, partnership, joint venture, agency, or other obligation unless and until it is set forth in a written agreement signed by Hulala Girls Inc. Press materials may be used only as approved in writing by Hulala Girls Inc.
6 · Third-Party Links and Services
The Site may contain links to, or embedded content from, third-party websites and services, including YouTube, Instagram, and Facebook, which Hulala Girls Inc. does not own or control. Hulala Girls Inc. is not responsible for the content, privacy practices, or terms of any third-party site or service. Your use of any third-party site or service is at your own risk and subject to its terms. Links to social media and other third-party sites are intended for adults.
7 · Infringement and Enforcement
Hulala Girls™, including all of its names, characters, world, and elements, was created by Christy Hui and is owned by Hulala Girls Inc. Unauthorized or prohibited use of Hulala Girls Content, by you or a business you represent, without the express written authorization of Hulala Girls Inc., infringes our rights and may subject you to civil liability, criminal prosecution, or both, including economic, punitive, and enhanced damages to the fullest extent of the law, legal fees, court orders, and civil and criminal penalties. Hulala Girls Inc. actively enforces its rights.
Reporting misuse. If you are an adult and become aware of any unauthorized use of Hulala Girls Content, including unlicensed merchandise, copied artwork, fake accounts, or AI-generated imitations, please report it to hello@hulalagirls.com with a link or image and where you found it.
8 · Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL HULALA GIRLS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. HULALA GIRLS INC. DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU USE THE SITE AT YOUR OWN RISK.
9 · Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HULALA GIRLS INC. OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS OF USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE TOTAL LIABILITY OF HULALA GIRLS INC. TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT, IF ANY, PAID BY YOU TO HULALA GIRLS INC. FOR USE OF THE SITE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
10 · Changes and Termination
Hulala Girls Inc. may modify these Terms of Use at any time. We will post notice of material changes on the Site before they take effect and update the “Last updated” date above. Your continued use of the Site after changes take effect constitutes your acceptance of the revised Terms of Use. Hulala Girls Inc. may modify, suspend, or discontinue any part of the Site at any time, and may restrict or terminate your access to the Site at its sole discretion, for any reason, without notice or liability.
11 · Governing Law and Venue
These Terms of Use are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. You consent to the exclusive jurisdiction and venue of the state and federal courts in Delaware for any dispute arising out of or relating to the Site or these Terms of Use, and you waive any objection based on venue or inconvenient forum. Hulala Girls Inc. may also take action wherever an infringer is located to stop misuse of Hulala Girls Content or to enforce a judgment.
12 · Miscellaneous
These Terms of Use, together with our Privacy Policy, constitute the entire agreement between you and Hulala Girls Inc. with respect to the Site and supersede all prior or contemporaneous communications, whether electronic, oral, or written. In the event of any conflict between these Terms of Use and any other terms or policies on the Site, these Terms of Use shall prevail. If any provision of these Terms of Use is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect. Our failure to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision. These Terms of Use are personal to you and may not be assigned or transferred by you. Hulala Girls Inc. may assign or transfer its rights and obligations under these Terms of Use without restriction. Any provision that by its nature should survive termination, including Sections 2 through 11, shall survive.
